1. Acceptance of Terms
By engaging VERIFICO ZIM LLC's services and submitting payment, the client confirms full understanding and acceptance of these Terms of Service. This document outlines the scope, limitations, and conditions under which our services are provided. It forms a binding agreement between the client and VERIFICO ZIM LLC.
2. Scope of Services
VERIFICO ZIM LLC is a registered due diligence consulting firm. Our mandate is strictly limited to property investigations, document verification, and related advisory services. We do not provide:
- Legal representation or advice
- Real estate agency services
- Property sales, letting, or valuations
- Conveyancing or litigation
- Accounting, tax, or financial advisory services
Any insights or recommendations offered are general in nature and should not be interpreted as professional advice. Clients are encouraged to consult licensed professionals for services beyond our scope.
3. Professional Status Disclaimer
While our consultants may hold academic or professional qualifications in law, real estate, finance, or accounting, they do not operate in those capacities within VERIFICO ZIM LLC. Accordingly:
- No attorney-client, agent-client, or fiduciary relationship is created
- Communications with our team are strictly consultative and non-binding
- Clients must seek licensed professionals for legal, financial, or real estate matters
- VERIFICO ZIM LLC disclaims liability for decisions made based on informal discussions or consultant backgrounds
4. Independence and Impartiality
VERIFICO ZIM LLC maintains complete independence from property sellers, estate agents, lawyers, valuers, and other third-party stakeholders.
- Our verification process is conducted objectively, based solely on documentation, institutional feedback, and factual findings
- We do not accept commissions, incentives, or influence from any party
- Clients receive a comprehensive verification report detailing our methodology and conclusions
- Sensitive information may be withheld or redacted where disclosure would breach third-party confidentiality or legal obligations
5. Fees and Payment
All service fees are payable in advance unless otherwise agreed in writing.
- Payments are non-refundable once verification has commenced
- Additional services requested after initial engagement may incur supplementary charges
- VERIFICO ZIM LLC reserves the right to revise fees with prior notice
6. Verification Timeline
Estimated timelines are provided based on prior experience and typical institutional responsiveness.
- Timeframes are indicative and not guaranteed
- Delays caused by third-party institutions or stakeholders do not constitute grounds for refund or liability
- VERIFICO ZIM LLC is not responsible for lost transactions resulting from timing constraints
7. Warranty and Guarantee
Where VERIFICO ZIM LLC recommends proceeding with a transaction, we strongly advise clients to mandate us to draft or review the Agreement of Sale. This service includes:
- Protective clauses against multi-allocations, demolitions, hidden debts, and encumbrances
- Structuring for legal enforceability in case of dispute
- Eligibility for Legal Fee Cover (see Section 8)
This service is mandatory for clients seeking legal fee protection.
8. Legal Fee Cover
Clients may opt-in for Legal Fee Cover by paying an additional fee. This entitles the client to:
- Reimbursement of legal fees incurred in recovering property
- Coverage at attorney-client scale, as regulated by the Law Society of Zimbabwe
- Protection only if the client has registered for this service at the time of verification
VERIFICO ZIM LLC reserves the right to reject claims that fall outside the scope of this cover.
9. Property Sourcing – Terms and Limitations
Clients may mandate VERIFICO ZIM LLC to source property by submitting a formal request and payment.
- We will identify and verify up to three (3) property options that meet the client's stated criteria and appear safe to purchase
- We do not guarantee that sourced properties will match all preferences, including location, price, payment terms, or condition
- The client agrees to remain flexible and consider alternative options presented
- Timeframes are variable and depend on market availability and third-party responsiveness
- Fees are non-refundable, regardless of outcome or client satisfaction
- VERIFICO ZIM LLC is not liable for market fluctuations, seller decisions, or post-purchase issues
10. Service-Specific Liability Limitations
VERIFICO ZIM LLC is committed to delivering thorough, impartial, and well-documented due diligence across all service categories. However, each service has inherent limitations based on third-party data, institutional responsiveness, and the nature of the investigation.
10.1 Corporate Due Diligence
We verify company legitimacy, registration status, shareholder structures, and compliance indicators using official registries and submitted documentation.
- We rely on third-party databases and institutional responses, which may be incomplete or outdated
- We cannot detect undisclosed liabilities, internal disputes, or off-record dealings
- Our findings are based on available documentation at the time of verification
For deeper financial or legal audits, clients should engage licensed accountants or attorneys.
10.2 Vehicle Due Diligence
We assess ownership, registration, and police clearance status for vehicles.
- We do not inspect mechanical condition, mileage accuracy, or accident history
- Hidden faults, tampered odometers, or undisclosed repairs may not be detectable
- We are not liable for post-purchase mechanical issues or resale complications
Clients are advised to pair our verification with a trusted mechanical inspection.
10.3 Background Checks
We conduct background verifications on individuals or entities based on public records and institutional feedback.
- Not all records are publicly accessible or digitized
- We cannot guarantee completeness or accuracy of third-party data
- Our reports are informational and not legally binding
Background checks should be used as risk indicators, not sole decision-making tools.
10.4 Contract Reviews
We offer clause-by-clause analysis of property-related contracts to highlight risks and recommend protective measures.
- Our reviews are advisory and do not constitute legal representation
- We do not draft contracts unless separately mandated
- Final legal enforceability depends on execution and jurisdiction
Clients requiring binding legal advice should consult a licensed attorney. We can recommend vetted professionals upon request.
11. Confidentiality
All client information is treated as confidential and will not be disclosed to third parties except:
- With the client's written consent
- As required by law or court order
- To trusted partners strictly for the purpose of fulfilling the verification mandate
12. Data Protection
VERIFICO ZIM LLC complies with applicable data protection laws.
- Client data is stored securely and used solely for service delivery
- Clients may request access to or deletion of their personal data
- VERIFICO ZIM LLC is not liable for breaches caused by third-party platforms or institutions
13. Limitation of Liability
VERIFICO ZIM LLC shall not be liable for:
- Decisions made by the client based on our reports
- Changes in government or institutional policies post-verification
- Indirect, consequential, or incidental damages
- Losses arising from third-party actions or omissions
Maximum liability is limited to the amount paid by the client for the specific service rendered.
14. Dispute Resolution
In the event of a dispute, the parties agree to:
- First attempt resolution through informal negotiation
- If unresolved, submit to mediation or arbitration in Harare, Zimbabwe
- Legal proceedings may only be instituted after these steps have been exhausted
15. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of Zimbabwe. Any legal action arising from this agreement shall be brought exclusively in the courts of Zimbabwe.
16. Amendments
VERIFICO ZIM LLC reserves the right to amend these Terms of Service at any time.

- Continued use of services after changes constitutes acceptance of the revised terms
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms constitute the entire agreement between VERIFICO ZIM LLC and the client, superseding all prior communications and understandings.
